Rights and AI declaration

I make the following declaration for every work I submit to the EiD THEME DESiGN Partner Program:

• I created the work myself, own the necessary rights, or hold written licences that permit commercial distribution, promotion, technical adaptation and sublicensing through the selected stores.
• I will identify third-party material, including fonts, music, photographs, trademarks, characters, templates and stock assets, and will provide evidence of the applicable licence when requested.
• I will clearly declare whether generative AI was used, identify the relevant provider or model where known, describe the extent of AI assistance and not present AI output as exclusively human-made.
• I have the necessary releases or another valid legal basis for recognisable people, private property and personal data contained in the work.
• The work will not knowingly infringe copyright, trade marks, design rights, privacy, publicity or other third-party rights and will not contain malicious code, hidden tracking or unlawful material.
• I will preserve source files and licence evidence, cooperate with proportionate rights checks and promptly report any later-discovered restriction, claim or error.

This declaration does not transfer ownership by itself. Any distribution licence is governed by the Partner Terms. False or incomplete declarations may lead to rejection, takedown, suspension, withheld disputed amounts or termination, subject to applicable law and a reasonable review.

EiD THEME DESiGN Creator / Seller Partner Terms

1. Scope and application

These terms govern applications, approved accounts, content submissions, distribution, revenue participation, statements, invoices and payouts. Registration is an application and does not guarantee approval, publication or sales.

2. Accurate trader information

The Partner must provide accurate and current identity, address, telephone, email, company, trade-register, tax and payout-account information and supporting evidence when reasonably requested. Business applicants confirm that their representative is authorised to act for the business.

3. Account and review

The Partner must protect account credentials and promptly report suspected misuse. EiD THEME DESiGN may verify information, request corrections, reject an application or suspend functions where information is incomplete, inconsistent, unlawful or presents a material security, sanctions, fraud or rights risk.

4. Ownership and individual Work Licence

The Partner retains ownership of the Partner's original intellectual property unless otherwise agreed in writing. Registration alone does not license an uploaded work. Before a Partner work can enter commercial store submission, the Partner must accept a separate Work Licence Agreement linked to that exact work and file hash. Each accepted Work Licence grants EiD THEME DESiGN a non-exclusive, worldwide, royalty-bearing licence for an indefinite term until validly terminated under these Terms to receive, store, reproduce, technically process, adapt, resize, convert, optimise, package, preview, promote, market, submit, distribute, sell and maintain the work and to grant only the limited sublicences reasonably necessary to supported stores, platforms and technical service providers.

5. Content rules and AI transparency

The Rights and AI Declaration forms part of these terms. The Partner must not submit unlawful, infringing, deceptive, malicious, privacy-invasive or exploitative content and must provide accurate AI and third-party asset disclosures.

6. Revenue participation

Private creators receive 20% of Net Revenue. A business may request a whole percentage from 20% to 70%; 30% is recommended by default. A requested rate becomes binding only after written approval. Net Revenue means amounts actually received for the content less applicable taxes, store commissions and fees, refunds, chargebacks, reversals, currency-conversion costs and other documented transaction-specific deductions.

7. Statements and payouts

Statements identify the period, relevant Net Revenue, agreed percentage and Partner amount. Payout requires approval, completed verification, valid payment and tax information and the applicable minimum threshold. Disputed, reversed, unlawful or insufficiently documented amounts may be held while reasonably investigated.

8. Taxes and self-billing

The Partner remains responsible for registrations, declarations and taxes applicable to the Partner. Where separately agreed and legally permitted, EiD THEME DESiGN may issue self-billing invoices for a business Partner. The Partner must verify each document and promptly report incorrect details. A private-creator payout statement is not presented as a VAT invoice.

9. Notices, takedowns and cooperation

EiD THEME DESiGN may restrict or remove content following a store decision, credible rights notice, legal obligation or reasonable compliance concern. The Partner will receive available reasons and an opportunity to provide information where legally and operationally possible.

10. Work and account termination

Termination of an individual Work Licence and termination of the Partner account are separate processes. A valid termination ends future distribution rights prospectively from its effective date. It does not erase acceptance evidence or invalidate rights already exercised, and limited continuing rights remain only as reasonably necessary for previous customer purchases, downloads or re-downloads, accounting, refunds, chargebacks, legal compliance, record keeping, store obligations, product withdrawal and technically necessary wind-down activities.

11. Withdrawal and retained records

EiD THEME DESiGN will stop new publication of a terminated work and take commercially reasonable steps to request withdrawal from participating stores. External-store withdrawal may take time. Source packages and working copies no longer required for these limited continuing purposes will be securely removed under the documented retention process. Work metadata, cryptographic hashes, accepted licence evidence, settlements, invoices, tax, fraud-prevention and audit records are preserved where legally or contractually required and are not used to restart distribution.

12. Liability

Nothing excludes liability that cannot legally be excluded. Subject to mandatory law, neither party is liable for indirect or consequential loss, and EiD THEME DESiGN does not guarantee uninterrupted availability, acceptance, publication, compatibility or sales volume.

13. Independent program, changes, law and records

The EiD THEME DESiGN Partner Program is an independent creator program operated by EiD THEME DESiGN. It is not operated, sponsored or endorsed by Samsung Electronics. Approved content may be distributed through supported third-party stores, including Galaxy Store / Galaxy Themes, subject to the applicable store approval processes, terms and policies. Material changes require a new version and renewed acceptance before they bind future activity. Dutch law applies, subject to mandatory protections that cannot be waived. Accepted document versions and completed financial records are retained for evidence, accounting, fraud prevention and legal obligations. TODO: final jurisdiction, withdrawal and retention language requires review by qualified Dutch counsel.

Partner privacy information

This is an acknowledgement of information, not consent to unnecessary data use. EiD THEME DESiGN processes partner data to review applications, administer accounts and agreements, verify identity and trader information, review rights, calculate revenue, create statements or invoices, prevent fraud, provide support and make lawful payouts.

Data and legal bases

Data may include identity and contact details, address, company and registration details, tax status and identifiers, payout information, declarations, submissions, correspondence, security events and audit records. Processing is based as applicable on steps requested before a contract, contract performance, legal obligations and legitimate interests in security, rights protection, accounting and fraud prevention. Separate consent will be requested where consent is actually required.

Recipients and safeguards

Access is limited by role. Data may be shared where necessary with hosting, email, payment, accounting, identity-verification and professional service providers, participating stores, competent authorities and rights claimants where lawfully required. Sensitive identifiers and payout details are encrypted or masked in normal views.

Retention and rights

Application and account data is retained only as long as necessary for the stated purposes, limitation periods and accounting, tax, anti-fraud and legal duties. Depending on the circumstances, a person may request access, correction, deletion, restriction, portability or objection and may complain to the Autoriteit Persoonsgegevens. Business Partner Self-Billing Agreement

This agreement applies only to an approved business Partner after EiD THEME DESiGN has verified the Partner's trader and tax profile. It does not apply to a private-creator payout statement.

• The Partner authorises EiD THEME DESiGN, as customer, to issue invoices in the Partner's name for accepted digital-content licence participation covered by a finalized settlement.
• Invoices use EiD THEME DESiGN's dedicated, unique and sequential self-billing series and contain the wording “factuur uitgereikt door afnemer”. Each invoice freezes the supplier, customer, supply period, currency, net amount, VAT treatment and settlement references.
• The Partner remains responsible for the accuracy of its legal name, address, registration, VAT status and VAT identification number and must notify EiD THEME DESiGN before requesting payment if any detail changed.
• The Partner must review every self-billing invoice and reject an incorrect document in writing without unreasonable delay. EiD THEME DESiGN will retain the rejection, cancel or correct the document without reusing its number, and issue a traceable replacement where required.
• The parties will not issue duplicate invoices for the same settlement. EiD THEME DESiGN may suspend self-billing and payment where verification, sanctions, fraud, rights, tax or bookkeeping checks are incomplete.
• Acceptance records, invoice snapshots and corrections are retained for the applicable Dutch tax and accounting retention period. Statutory tax obligations remain with the party to whom the law assigns them.

Self-billing becomes operational only after EiD THEME DESiGN approves the Partner, verifies the tax profile and enables live billing. Professional review of the final entity details and VAT treatment remains required before launch.
